Job Description Summary:
PayPal is seeking to hire an experienced paralegal to support PayPal's legal team supporting mergers and acquisitions (M&A), equity investments, and M&A integration activities. This role can be based anywhere in the US, and will initially report to the Vice President, Corporate Legal & Secretary.

Job Description:
The Role
  • Provide day-to-day support for various aspects of M&A and equity investment transactions, including:
    • coordinating due diligence efforts and integration activities;
    • supporting review of materials;
    • supporting signing and closing mechanics (including coordinating and tracking signature pages), assisting with preparation of legal documentation;
    • preparing and tracking execution of integration plans, and working to ensure that templates are in compliance with legal requirements and best practices; and
    • maintaining corporate records and databases with respect to M&A and investment activities.
  • Work closely with a variety of key stakeholders, including in-house attorneys, outside counsel, Risk and Compliance, Treasury, Tax, Accounting, Investor Relations, Communications, HR, and business functions.
  • Assist on formations, reorganizations, and dissolutions of subsidiaries, as well as other corporate transactions.
  • Recommend and implement new processes and procedures to increase group efficiency and organization and the effectiveness of future M&A and equity investment transactions and M&A integration efforts.
  • Assist with general corporate matters.

Preferred Qualifications
  • Bachelors' degree or paralegal certificate (ABA approved) is required.
  • 5+ years of relevant corporate paralegal experience supporting M&A and equity investment transactions.
  • Combination of law firm and in-house experience is strongly preferred.
  • Proficient with Microsoft Office (Word, Excel, PowerPoint, Outlook), online data rooms (e.g., RRD Venue) and subsidiary management databases (e.g., Diligent Entities).
  • Qualified (or able to become qualified) as a notary public.
  • Strong attention to detail and well-organized, with the ability to operate independently in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
  • Excellent interpersonal, written and oral communications skills.
  • A high-level of intellectual, professional and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills.
  • Excellent project management skills, well organized, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
  • Team oriented and able to work collaboratively and effectively with business clients and other legal department members.
  • Unquestioned ethics and integrity, sound judgment and high tolerance for ambiguity.
  • Flexibility and willingness to work extended hours when necessary to complete projects in a timely fashion.

New York City Only : The pay range for this position is as mentioned below per year, plus annual bonus. We take into consideration an individual's background and experience in determining final salary.
